Terms of Service

The agreement between you and AnySign covering accounts, plans, acceptable use, electronic signatures, and liability.

Last updated 6 September 2026

These Terms of Service (the "Terms") are a binding agreement between [LEGAL ENTITY NAME] ("AnySign", "we", "us"), registered at [REGISTERED ADDRESS], and the person or organisation that creates an AnySign account ("Customer", "you"). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you accept on behalf of an organisation, you confirm you are authorised to bind it.

1. The Service

AnySign is a hosted platform for sending, signing, and storing electronic signature envelopes and for issuing and collecting invoices, together with an HTTP API, webhooks, and SDKs (the "Service").

We may change, add, or remove features. If we materially reduce a feature you rely on, we will give at least 30 days' notice by email to your workspace owner, and you may terminate under section 15 without penalty for the unused portion of any prepaid term.

2. Definitions

  • "Workspace" — an organisation account holding users, documents, invoices, and settings. Workspace data is isolated from every other workspace.
  • "Envelope" — one or more documents routed to one or more Signers for signature.
  • "Signer" — a person invited to sign an Envelope. Signers are not required to hold an AnySign account.
  • "Customer Data" — everything you or your Signers upload to, or generate in, the Service: documents, signatures, signature evidence, customer records, invoices, and API payloads.
  • "Users" — the individuals you authorise to access your Workspace.

3. Accounts and security

You must provide accurate registration details and keep them current. You are responsible for all activity under your Workspace, including activity by your Users and by anyone using your API keys.

API keys and session credentials are secrets. Store them server-side, never in client code or public repositories, and rotate them when a User leaves. Tell us at [email protected] promptly if you suspect compromise.

You must be at least 18 and legally able to enter contracts. The Service is not offered to children.

4. Plans, fees, and taxes

The Service is offered on a Free plan with monthly quotas and on paid plans (Pro, Business, API) published on our pricing page. Paid plans are billed in advance for the subscription term you select; API usage is billed in arrears against metered usage.

Fees are exclusive of VAT, GST, sales, and similar taxes, which you are responsible for except taxes on our net income. Where required, we collect and remit them.

Subscriptions renew automatically for successive terms at the then-current price unless cancelled before the renewal date. We will give at least 30 days' notice of a price increase applying at your next renewal.

Payments are processed by our payment provider; card details are handled by that provider and never stored by us. If a payment fails, we may suspend paid features after notice and a reasonable cure period.

Except where required by law, fees are non-refundable, and quotas do not carry over between billing periods.

Exceeding a plan quota blocks further sends on that metric until the next monthly period or an upgrade. It never deletes, hides, or degrades data you have already created.

5. Acceptable use

You will not, and will not permit anyone to:

  • upload or send content that is unlawful, infringing, defamatory, or malicious, including malware;
  • use the Service to send unsolicited bulk email or SMS, or to phish, impersonate, or defraud any person;
  • forge, alter, or misrepresent a signature, a signer's identity, an audit trail, or the completion state of an Envelope;
  • circumvent quotas, rate limits, authentication, or Workspace isolation, or probe or load-test the Service without our written consent;
  • resell or provide the Service to third parties except as an integrated part of your own product, and only where you remain responsible for those end users;
  • reverse engineer the Service except to the extent that restriction is unenforceable by law.

We may suspend a Workspace immediately, with notice as soon as practicable, where use presents a security risk, exposes us or others to liability, or is plainly unlawful.

6. Electronic signatures and evidence

The Service is designed to support electronic signatures under the U.S. ESIGN Act and UETA, EU Regulation 910/2014 (eIDAS), UK eIDAS, and comparable regimes, by capturing intent, consent to do business electronically, signer authentication, a tamper-evident sealed PDF, and a per-Envelope audit trail of timestamps, IP addresses, and user agents.

AnySign does not provide legal advice and does not warrant that any particular signed document is valid, admissible, or enforceable in your jurisdiction or for your use case. Whether a given signature level is sufficient is your determination.

Some document types are excluded from electronic signature statutes or require a specific form — commonly wills and testamentary trusts, certain family-law and court documents, some notarial deeds, and certain real property instruments. You are responsible for confirming eligibility before sending an Envelope.

Advanced (AES) and Qualified (QES) signature levels depend on configuration. Where a trust-anchored sealing certificate or qualified timestamp authority is not configured for your deployment, seals carry our standard certificate and server time; the Service reports that state to Workspace owners. Do not rely on a signature level that your configuration does not report as active.

7. Customer Data and intellectual property

As between the parties, you own all Customer Data. You grant us a non-exclusive, worldwide licence to host, process, transmit, and display Customer Data solely to provide, secure, and support the Service, and as instructed by you through the Service.

We own the Service, our software, and our trademarks. Nothing here transfers our intellectual property to you beyond the right to use the Service during your subscription.

You warrant that you have the rights and permissions needed for the Customer Data you upload and for every Signer and recipient you contact through the Service, including any consent required to send them email or SMS.

We use aggregated, de-identified statistics about Service usage (volumes, error rates, feature adoption) to operate and improve the Service. These never identify you, your Signers, or the contents of any document.

We will not train machine learning models on the contents of your documents.

8. Privacy and data protection

Our handling of personal data is described in the Privacy Policy. Where we process personal data contained in Customer Data on your behalf, we act as your processor under the Data Processing Addendum, which forms part of these Terms.

9. Third-party services

The Service integrates with third parties such as payment processors, email and SMS providers, cloud storage, and automation platforms. If you connect your own storage bucket or a third-party account, that connection is governed by your agreement with that provider, and we are not responsible for their acts or availability.

10. API, rate limits, and beta features

API access is subject to published rate limits and to fair use. We version the API and will give at least 90 days' notice before removing or making a breaking change to a stable v1 endpoint, except where a shorter timeline is required for security or legal reasons.

Features labelled beta, preview, or experimental are provided as-is, may change or be withdrawn without notice, and are excluded from any availability commitment.

11. Availability and support

We aim to keep the Service continuously available and perform maintenance with as little disruption as practicable. Support is provided by email at [email protected] during business days.

No uptime or response-time commitment applies to the Free plan or to beta features. Any service level commitment for paid plans applies only if set out in a written order form or service level agreement signed by us.

12. Confidentiality

Each party may receive non-public information from the other. The receiving party will use it only to perform under these Terms, protect it with at least reasonable care, and disclose it only to personnel and advisers bound by comparable obligations. This does not apply to information that is public through no fault of the receiver, independently developed, or lawfully received from a third party. Disclosure compelled by law is permitted with prompt notice where lawful.

13. Warranties and disclaimers

We warrant that we will provide the Service with reasonable skill and care and in accordance with these Terms.

Except as expressly stated, the Service is provided "as is". To the maximum extent permitted by law we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, or that any document signed through it will be legally enforceable. Nothing in these Terms excludes rights you have as a consumer that cannot be excluded by law.

14. Limitation of liability

Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised of the possibility.

Each party's total aggregate liability arising out of or relating to these Terms is limited to the fees you paid or owed to us for the Service in the 12 months before the event giving rise to the claim. For the Free plan, that limit is USD 100.

These limits do not apply to your payment obligations, to either party's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or to any liability that cannot be limited by law.

15. Indemnity

You will defend and indemnify us against third-party claims arising from Customer Data, from your use of the Service in breach of these Terms or applicable law, or from a dispute between you and a Signer or invoice recipient. We will defend and indemnify you against third-party claims that the Service as provided by us infringes that third party's intellectual property rights. In each case the indemnified party must give prompt notice, reasonable cooperation, and control of the defence.

16. Term, suspension, and termination

These Terms run until your account is closed. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.

We may suspend or terminate for material breach that is not cured within 30 days of notice, immediately for the causes in section 5, or if you become insolvent.

On termination your right to use the Service ends. You may export your Customer Data through the Service or the API during the subscription and for 30 days afterwards. After that we delete or anonymise Customer Data in line with the Privacy Policy and the Data Processing Addendum, except for records we must retain by law and for tamper-evident audit records where deletion would destroy the integrity of evidence relied on by third parties, which are anonymised instead.

Sections that by their nature should survive — confidentiality, ownership, disclaimers, liability, indemnity, and governing law — survive termination.

17. Changes to these Terms

We may update these Terms. For material changes we will give at least 30 days' notice by email to Workspace owners and by notice in the product before they take effect. Continued use after the effective date means acceptance; if you object, you may terminate and receive a pro-rata refund of prepaid fees for the unused term.

18. Governing law and general terms

These Terms are governed by the laws of [COUNTRY / STATE OF INCORPORATION], without regard to conflict-of-law rules, and the parties submit to the exclusive jurisdiction of [AGREED COURTS].

Neither party may assign these Terms without the other's consent, except to a successor in a merger or sale of substantially all assets. Notices to us go to [email protected]; notices to you go to the email addresses of your Workspace owners.

Neither party is liable for delay or failure caused by events beyond its reasonable control. If a provision is unenforceable it is modified to the minimum extent needed and the rest stays in force. Failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, and the Data Processing Addendum are the entire agreement between the parties on this subject and supersede prior discussions.
